Esta ficha no es para quien invierte sus ahorros, sino para quien genera ingresos por su cuenta — freelance, pequeño negocio, un proyecto que empieza a facturar. La estructura legal que elijas cambia cuánto pagas, qué arriesgas y cuánto papeleo asumes. No hay una opción "mejor": hay una que encaja con tu situación actual, y un momento en que puede dejar de encajar.

This guide isn't for someone investing their savings — it's for someone earning income on their own: freelancers, small businesses, a project that's starting to bill clients. The legal structure you choose changes how much you pay, what you risk and how much paperwork you take on. There's no "best" option — there's one that fits your current situation, and a point where it might stop fitting.

Lo que implica ser autónomo What being a freelancer involves Responsabilidad ilimitada: si el negocio genera deudas, respondes con todo tu patrimonio personal, no solo con lo que hayas invertido en la actividad — con el matiz de que, cumpliendo ciertos requisitos de inscripción ("emprendedor de responsabilidad limitada"), la vivienda habitual puede quedar protegida hasta cierto valor frente a deudas derivadas de la actividad, aunque no frente a deudas con Hacienda o la Seguridad Social. Tributas por IRPF, el mismo impuesto progresivo que un asalariado, sumando tus ingresos de la actividad al resto de tus rentas — cuanto más ganas, mayor es el tipo marginal (ver Ficha 09). Unlimited liability: if the business generates debts, you're liable with all your personal assets, not just what you've invested in the activity — with the caveat that, meeting certain registration requirements ("limited-liability entrepreneur"), your primary residence can be protected up to a certain value against business-related debts, though not against debts owed to the Tax Agency or Social Security. You're taxed under personal income tax, the same progressive tax an employee pays, adding your business income to the rest of your earnings — the more you earn, the higher your marginal rate (see Guide 09).

Desde la reforma que ligó la cuota a los ingresos reales, se cotiza por tramos según el rendimiento neto mensual, eligiendo una base entre el mínimo y el máximo de cada tramo (tipo de cotización del 31,5 % sobre la base elegida):

Sociedad Limitada: patrimonio separado, a cambio de más estructura

Limited company: separate assets, in exchange for more structure

La SL es una entidad jurídica distinta de sus socios: en principio, las deudas del negocio se quedan en el negocio, no en tu patrimonio personal (salvo avales personales que hayas firmado, o responsabilidad por mala gestión). A cambio, tributa por su cuenta y exige más obligaciones formales.

An SL is a legal entity distinct from its owners: in principle, the business's debts stay within the business, not your personal assets (except for personal guarantees you've signed, or liability for mismanagement). In exchange, it's taxed separately and requires more formal obligations.

Comunidad de Bienes: compartir actividad sin crear una sociedad

Partnership (CB): sharing an activity without forming a company

Cuando dos o más personas van a desarrollar una actividad económica juntas, sin necesidad de la estructura de una sociedad mercantil, la Comunidad de Bienes es la vía más simple. No tiene personalidad jurídica propia separada de sus comuneros: cada uno tributa en su propio IRPF por la parte de beneficio que le corresponde ("atribución de rentas"), y todos responden de forma solidaria e ilimitada de las deudas — lo mismo que un autónomo, pero repartido entre varios.

When two or more people are going to run a business together without needing the structure of a formal company, a partnership (Comunidad de Bienes) is the simplest route. It has no legal personality separate from its members: each one is taxed on their own personal income tax for their share of the profit ("income attribution"), and everyone is jointly and unlimitedly liable for debts — the same as a freelancer, but shared among several people.

Los costes añadidos de la SL (gestoría, contabilidad, autónomo societario) pueden neutralizar el ahorro fiscal por debajo de esos 40.000 € — no es un cambio que compense "por si acaso". The most commonly cited reference is between €40,000 and €60,000 of annual net profit — the point where the marginal personal income tax rate clearly starts to exceed the flat rate for a Newly Formed company (15% in the first two years). That saving only materializes if you leave profit inside the company (to reinvest or accumulate) — if you take all the money out for yourself, it's taxed again under personal income tax when paid out as a dividend or salary, and the saving shrinks a lot. The added costs of an SL (accounting firm, bookkeeping, company-director contribution) can cancel out the tax saving below that €40,000 mark — it's not a change worth making "just in case".

No existe la estructura "correcta" en abstracto: el autónomo es el punto de partida razonable para casi todo el mundo, la SL empieza a compensar cuando el beneficio es alto y estable y puedes dejar parte dentro de la empresa, y la Comunidad de Bienes resuelve el caso concreto de varios socios que quieren algo simple — decide con una cifra real de beneficio esperado delante, no con la sensación de que "una empresa suena más serio". There's no "correct" structure in the abstract: freelancing is the reasonable starting point for almost everyone, an SL starts paying off when profit is high and stable and you can leave part of it inside the company, and a partnership solves the specific case of several partners who want something simple — decide with a real expected-profit figure in front of you, not the feeling that "a company sounds more serious". This guide gives a general criterion and doesn't replace the analysis of an accounting firm or tax advisor on your specific case, especially when deciding whether to switch structures.
